Terms of Service

These Terms of Service (the “Terms”) set out the conditions for using “Funnel Ai” (the “Service”), provided by 株式会社ファネルAi (formerly 株式会社ロゴラボ; “Funnel Ai”), including SFA (sales force automation), CRM (customer relationship management), MA (marketing automation), and related AI and integration features. Customers (as defined in Article 2) shall use the Service upon agreeing to these Terms. By using the Service, Customers are deemed to have agreed to these Terms.
1. Scope and order of precedence
- These Terms apply to all relationships between Funnel Ai and Customers concerning use of the Service.
- Rules, guidelines, price lists, SLAs (service level agreements), security documents, API specifications and other provisions posted on the Service or Funnel Ai’s website (the “Supplementary Provisions”) form part of these Terms.
- Unless otherwise specified, the Supplementary Provisions prevail in the event of a conflict with these Terms.
- Personal information and related information are handled in accordance with the Funnel Ai Privacy Policy and Article 19 (DPA: Data Processing Terms).
2. Definitions
The following definitions apply:
- “Customer”: a corporation or sole proprietor that agrees to these Terms and uses the Service for business purposes.
- “Administrator”: a person authorized to represent the Customer in adding or removing Users, assigning permissions, configuring sharing and external service integrations, and similar activities.
- “User”: an officer, employee or other person who uses the Service under the Customer’s management.
- “Customer Data”: all data handled by Customers or Users through input, transmission, storage, integration or otherwise within the Service, including contacts, email, schedules, activity histories, deals, files and logs.
- “Output”: results generated, summarized, extracted, classified or recommended by AI features, including text, structured data, scores and suggestions.
- “External Services”: services provided by third parties other than Funnel Ai, such as Google Workspace, Microsoft 365 and Slack.
- “Subprocessor”: a third party engaged by Funnel Ai to handle Customer Data, including cloud, LLM, monitoring, support, delivery and telecommunications providers.
3. Registration
- An applicant applies using the method specified by Funnel Ai, such as linking a Google account. A service agreement is formed when Funnel Ai approves the application.
- Funnel Ai may decline registration if it determines that the applicant has submitted false information, has previously violated these Terms, or is otherwise unsuitable for registration. Funnel Ai has no obligation to disclose its reasons.
- Customers shall promptly update registration information using the prescribed procedure when it changes.
4. Eligibility, age and antisocial forces
- The Service is intended for business use by corporations and sole proprietors.
- Minors must obtain the consent of their legal representative.
- Customers and Users represent and warrant that they are neither antisocial forces nor associated with such forces. Funnel Ai may immediately terminate the agreement if a violation is found.
5. User IDs, passwords and account authentication
- The Service uses Google account authentication (OAuth) for login. Customers are responsible for managing their Google accounts and passwords.
- Funnel Ai assumes no liability for losses caused by theft or unauthorized use of Google accounts.
- Users access the Service using an authentication method designated by Funnel Ai, such as Google account authentication, an ID and password, or SSO.
- As a rule, each account is limited to one User. Sharing, lending and transferring accounts are prohibited.
- Customers bear full responsibility for their Users’ use of the Service.
- Customers shall promptly notify Funnel Ai if they become aware of compromised credentials or similar incidents. Funnel Ai and the Customer shall cooperate to prevent further harm.
6. Permissions, sharing and audit logs
- Administrators are responsible for appropriately configuring permissions, viewing scopes, sharing and External Service integrations.
- The Service may generate and retain audit logs, such as operation histories, integration executions and AI executions. Customers are responsible for managing these logs in accordance with applicable law and internal rules.
- Depending on sharing settings, other Users within the Customer’s organization may view certain Customer Data, including email bodies, attachments and activity logs. Customers shall understand this and obtain necessary consent and establish appropriate rules.
7. Fees, payment and plans
- Fees, billing units (such as Users, features or usage) and payment terms are set out in Funnel Ai’s price list or application form.
- Customers shall pay by the due date. Late payment charges shall be payable at a rate not exceeding 14.6% per year (or the statutory maximum).
- No refunds are provided during a contract term unless required by law.
- Whether fees may be reduced following a decrease in Users or similar changes is governed by the plan conditions.
8. Free trials and beta services
- Where Funnel Ai offers a free trial or beta service, its duration, features and restrictions are governed by the conditions presented by Funnel Ai.
- Features, SLAs, support, data retention and other aspects may be limited during trials and beta services.
9. Usage environment and External Services
- Customers shall prepare and maintain the devices, connectivity, software and other resources needed to use the Service at their own expense and responsibility.
- External Services are subject to their providers’ terms. Funnel Ai is not responsible for External Service outages, specification changes or similar events.
- Customers using integrations shall lawfully obtain consent, configure settings and grant permissions on the External Service side.
10. Prohibited conduct
Customers and Users must not:
- Violate laws or public order and morals;
- Engage in or facilitate criminal acts;
- Destroy or interfere with Funnel Ai’s servers or networks;
- Engage in conduct that may interfere with operation of the Service;
- Collect or accumulate personal information about other Customers;
- Impersonate other Customers or register false information;
- Infringe third-party rights, including copyrights, trademarks, privacy and likeness rights;
- Compromise Funnel Ai systems through unauthorized access, vulnerability probing, scraping or similar conduct;
- Impose excessive loads through mass requests, bots, abnormal inputs or similar means;
- Commit fraud or nuisance acts against Funnel Ai or third parties;
- Send spam, solicit without authorization, ignore opt-outs or otherwise violate communications laws;
- Directly or indirectly provide benefits to antisocial forces in connection with Funnel Ai’s services;
- Disassemble, decompile or reverse engineer the Service; or
- Engage in other conduct that Funnel Ai reasonably considers inappropriate.
11. Email and marketing automation delivery
- Customers using email delivery or MA features shall comply with applicable law, including Japan’s Act on Regulation of Transmission of Specified Electronic Mail, the Act on the Protection of Personal Information and other countries’ regulations, as well as recipient consent requirements.
- Funnel Ai may suspend sending, impose rate limits or restrict features if bounce rates, complaint rates, spam classifications or similar measures exceed its standards.
- Funnel Ai may automatically monitor and analyze sending activity to maintain deliverability and prevent misuse.
- Customers shall provide appropriate unsubscribe (opt-out) methods and promptly honor such requests.
12. Telephone, recording and SMS features, where provided
- If Funnel Ai provides telephone, recording, SMS or similar features, Customers shall comply with applicable laws, including recording consent, telecommunications and anti-nuisance regulations.
- These features do not support emergency calls.
- Notifications may fail or be delayed due to telecommunications providers or External Services. Funnel Ai assumes no liability for such failures or delays.
13. APIs, integrations and usage limits
- Funnel Ai may set limits on Users, storage, API calls, processing volume, sending volume and other usage.
- API specifications may change without notice. Access to non-public APIs and use outside specifications are prohibited.
- Customers are responsible for integrations and development. Funnel Ai is not liable for data loss or other damage caused by integration failures, except in cases of its willful misconduct or gross negligence.
- Funnel Ai may deprecate or discontinue APIs and may provide a reasonable migration period, for example six months, but has no obligation to provide equivalent features.
- Funnel Ai may apply rate limits, throttling, access blocking or other technical measures to protect the Service.
14. Support and SLAs
- Support channels, hours, scope and SLAs are specified in the Supplementary Provisions.
- Funnel Ai may suspend all or part of the Service for outages or maintenance.
15. Intellectual property
- Intellectual property rights in the Service and related documentation belong to Funnel Ai or the rightful owners.
- Use of the Service does not transfer Funnel Ai’s intellectual property rights.
- Rights in Customer Data belong to the Customer. Funnel Ai handles Customer Data within the scope of these Terms and Article 19 (DPA).
16. Handling, retention, deletion and export of Customer Data
- Funnel Ai handles Customer Data to provide, maintain and improve the Service, provide support, prevent misuse, respond to audits and for related purposes.
- Precedence for Google user data: Section 7 of the Privacy Policy prevails over these Terms for Google user data obtained through Google APIs. Funnel Ai does not use the bodies or contents of Google user data for service improvement, quality improvement, other analysis or log retention, except temporary processing necessary to provide features expressly approved by the User and the limited handling described in Section 7.5 of that policy.
- Customers are responsible for backing up and exporting Customer Data as needed.
- Funnel Ai may delete Customer Data after the retention period it specifies following contract termination (for example, 30–90 days). Retention periods and export methods are specified in the Supplementary Provisions.
- Funnel Ai may delay or limit deletion where required by law or reasonably necessary for its operations.
17. Statistical and anonymized information
- Funnel Ai may create statistical information processed so that individuals cannot be identified, such as usage statistics and feature improvement analyses, and use it internally or publish it.
- Funnel Ai shall apply reasonable anonymization and aggregation when creating statistical information.
- Intellectual property rights in statistical information belong to Funnel Ai.
18. AI features
- No warranty: Output is reference information. Accuracy, completeness, currency, legality, fitness for purpose and non-infringement are not guaranteed. Customers are responsible for final decisions.
- Lawful input: Customers warrant that they have lawful rights to obtain and use data entered into AI features and that doing so does not infringe third-party rights.
- Confidential information: Customers shall determine whether information may be entered into AI features in accordance with internal rules and contracts and obtain necessary consent and take necessary measures.
- External LLMs: Funnel Ai may use external LLMs and similar services to provide AI features. Their outages, specification changes or discontinuation may affect AI features.
- Training: Except as specified in the Supplementary Provisions, Funnel Ai does not provide Customer Data, including prompts and Output, for training external LLMs or similar models.
- If Funnel Ai uses AI feature logs for quality improvement, misuse prevention or similar purposes, the Supplementary Provisions specify their scope (metadata only or including content), retention period, anonymization policy and availability of opt-out.
- Preventing AI misuse: Vulnerability probing, attacks on models (such as prompt injection) and excessively burdensome inputs are prohibited. Funnel Ai may impose preventive restrictions.
19. DPA: Data processing, subprocessors and cross-border transfers
- Funnel Ai acts as a “Processor” handling Customer Data, including personal data, on the Customer’s behalf. The Customer is responsible as the “Controller.” Where applicable law uses different terminology, that law applies.
- Funnel Ai may use subprocessors to provide the Service. The list of subprocessors, methods of notifying additions or changes, and objection procedures, if any, are specified in the Supplementary Provisions.
- Customer Data may be stored in Japan. Customers agree that cross-border transfers may occur through External Services, subprocessors or other arrangements.
- Funnel Ai takes technical and organizational security measures, including encryption, access control and audits, in accordance with applicable law. Details are set out in security documents.
- Where disclosure is required by law or administrative or judicial request, Funnel Ai will notify the Customer in advance where possible, or promptly afterward, unless prohibited by law.
- Funnel Ai will reasonably cooperate where Customers need to respond to data subjects’ requests for disclosure, correction or deletion. Procedures and costs are specified in the Supplementary Provisions.
20. Security incidents
- Funnel Ai takes reasonable security measures but does not guarantee complete security.
- If Funnel Ai becomes aware of a material security incident involving Customer Data, it will notify Customers in accordance with applicable law and its incident response policy.
- Customers are responsible for incidents caused by their devices, credentials, External Service settings or similar factors.
21. Suspension and restrictions
Funnel Ai may suspend, interrupt or restrict all or part of the Service without prior notice if it determines that any of the following applies:
- Maintenance, inspection or updating of the Service’s computer systems;
- Difficulty providing the Service due to force majeure, including earthquakes, lightning, fire, power failures or natural disasters;
- Problems, interruptions or suspension of connected External Services, including Google APIs;
- Suspected violations of these Terms, including for investigation purposes;
- A security emergency;
- A need to address overload or outages;
- Nonpayment of fees; or
- Other circumstances in which Funnel Ai determines that providing the Service is difficult or that suspension, interruption or restriction is reasonably necessary.
22. Cancellation and termination
- Customers may cancel using Funnel Ai’s prescribed method. The effective cancellation date and deadlines for stopping renewal are governed by plan conditions.
- Funnel Ai may terminate the agreement without a demand to cure where a Customer violates these Terms or in similar circumstances.
- Customer Data after termination is handled under Article 16.
23. Disclaimer of warranties
Funnel Ai makes no express or implied warranty that the Service is free of defects, will produce expected results, is fit for a particular purpose or does not infringe third-party rights, except where Funnel Ai expressly provides a separate warranty.
24. Disclaimers and limitation of liability
- Funnel Ai assumes no liability for damage suffered by Customers in connection with the Service. However, this disclaimer does not apply where the agreement between Funnel Ai and the Customer concerning the Service, including these Terms, is a consumer contract under Japan’s Consumer Contract Act.
- Even where the preceding exception applies, Funnel Ai is not liable for damage arising from special circumstances resulting from breach of contract or tort due to its negligence (excluding gross negligence), including where Funnel Ai or the Customer foresaw or could have foreseen the damage.
- AI-generated content: The Service uses AI to generate email drafts and other content but does not guarantee accuracy, completeness or appropriateness. Customers shall review and revise generated content at their own responsibility before use. Funnel Ai is not liable for problems arising from Output.
- External integrations: The Service uses Google APIs. Funnel Ai is not liable if Google LLC’s specification changes, API restrictions or service discontinuation make the Service unavailable.
- Even where Funnel Ai is liable for damages, liability is capped at the total usage fees paid by the Customer to Funnel Ai during the preceding 12 months, except in cases of Funnel Ai’s willful misconduct or gross negligence.
- Funnel Ai is not liable for indirect damage, including lost profits, data loss and lost business opportunities, except in cases of its willful misconduct or gross negligence.
- Funnel Ai is not liable for damage caused by services provided by External Services, telecommunications providers or subprocessors, unless attributable to Funnel Ai.
25. Indemnification
If a third-party claim is made against Funnel Ai due to Customer Data content, delivery or communications activities, External Service settings, Users’ conduct or similar matters, the Customer shall defend Funnel Ai and indemnify it for damage, including attorneys’ fees.
26. Confidentiality
- Funnel Ai and Customers shall not use information disclosed as confidential by the other party outside the purposes of the agreement or disclose it to third parties.
- Disclosure required by law, a court or an administrative authority is an exception. Advance notice shall be given where possible.
- Confidentiality obligations survive termination for three years. Personal information is governed by applicable law and Article 19 (DPA).
27. Assignment and business succession
- Customers may not assign their contractual status, rights or obligations without Funnel Ai’s prior consent.
- Funnel Ai may transfer its contractual status and related information, including Customer Data, in connection with a business transfer or similar transaction. Customers consent in advance.
28. Changes to the Service
Funnel Ai may change the Service or discontinue its provision without notifying Customers and assumes no liability for damage thereby incurred by Customers.
29. Changes to these Terms
- Funnel Ai may change these Terms without Customer consent where it considers this necessary. Amended Terms take effect when posted on Funnel Ai’s website.
- Funnel Ai will announce the effective date and contents of amendments using its prescribed method. Use of the Service after the effective date constitutes acceptance of the amended Terms.
30. Personal information
Funnel Ai shall appropriately handle personal information obtained through use of the Service in accordance with its Privacy Policy.
31. Governing law and jurisdiction
- These Terms are interpreted in accordance with Japanese law.
- Courts having jurisdiction over Funnel Ai’s head office, such as the Tokyo District Court, shall have exclusive agreed jurisdiction in the first instance over disputes relating to the Service.
